FAQ

What's looch Start?
looch Start is the fast, mobile-first way to create a new business entity. You can create a Delaware corporation, Delaware LLC, or Florida LLC directly in the looch app in under a minute.
Some services advertise $0. How's that possible?
It’s click bait. Once you add hidden fees, including state filing, EIN, and 1 year of state-required registered agent service, those “zero-fee” packages end up costing about double the all-in, transparent price of looch Start.

They also auto-renew registered agent service for around $200/year. The registered agent included with looch Start renews for $49/year.
How does looch offer this service at about half the price of other companies?
For other companies, business entity services are their core revenue source. They rely on high margins and high annual renewals.

For looch, it's only the starting point. Our goal is to be your all-in-one platform for financial accounts, spend management, payments, accounting, 1099 filing, and more. This lets us keep entity creation simple, affordable, and transparent.
Is there a renewal fee?
Yes. Your virtual office renews at $49/year. It includes a business address to keep your address off public records, registered agent service, and mail scanning for up to 3 pieces per year, with unlimited state mail and service of process. Upgrades are available.
How does the business name selection work?
You provide 3 name choices. We check availability in order and register the first name that's available.

Your approval email will show which name was accepted.
Do I need to provide my home address?
You don’t. Your virtual office includes state-required registered agent service, a business address, mail scanning, and privacy protection.
What's included in the virtual office?
A registered agent with unlimited state mail and service of process, plus a business address with mail scanning for up to 3 regular mail pieces per year. Upgrades are available.

Additional states can be added for $49/year per state.
When do I need a registered agent in another state?

This usually happens if you have employees or agents, sales reps, an office, a warehouse, or inventory in that state.

You can get an EIN even if you don't have an have an SSN or ITIN. You'll receive it by email along with a download link your IRS EIN letter.
How long does the EIN take?
If you provided an SSN or ITIN, the turnaround is usually fast.

If you didn't, it typically takes about 14 days.

We notify you as soon as it's ready.

Delaware allows you to keep your name off public filings.

Florida requires the manager name and this name becomes public.

The app will guide you toward the option that best protects your privacy.
Can another entity manage my LLC?
Yes. You can appoint another LLC or corporation as the manager right from the app. This is a common structure for privacy or multi-entity setups.
Can I track the status of my new entity?
You'll receive 3 email updates:

1. Tax-deductible receipt for your payment

2. Confirmation that your entity was created

3. Confirmation that your EIN was obtained

After that, you can onboard immediately.
What if I don’t live in Delaware?
You can live anywhere in the world.

Delaware is popular for entity creation for a few reasons.

1. Strong legal protections: Delaware has the most trusted business courts in the country, with well-established case law that protects owners and investors.

2. Founder-friendly rules: Ownership, governance, and internal agreements are simpler, more flexible, and easier to maintain.

3. Investor preference: Venture capital funds overwhelmingly prefer Delaware entities because they know the legal framework is stable, predictable, and built for scale.

4. Privacy: Your name or home address never appear in public records.
Can my business be taxed as an S corporation?
Yes. Your LLC or corporation can elect S corporation tax treatment.

You can do this at any time directly in the looch app, at no cost, even if you didn’t create your entity with looch Start. In most cases, looch files the form for you, so there’s nothing to mail.

From the looch menu, go to Profile → Profile details → Business → Tax treatment → Select “S corporation”.

Filing deadline:

• If this is your first year in business, the IRS lets you elect S corporation status any time during your first 75 days, starting from the date your entity is created.

• After the first year, the deadline is March 15th of that tax year.

If you miss the deadline, the IRS often accepts late elections when reasonable cause is explained, but it's better to submit it on time.
When can I onboard as a looch business?
You can onboard as soon as your entity is active and your EIN is confirmed.

You'll receive email notifications at each step.
What happens after I onboard in the looch app?
